Welcome to HealthBridge Solutions. These Terms of Service ("Terms") govern your access to and use of our website, products, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.
If you do not agree to these Terms, you may not access or use our Services.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms or non-payment of fees.
Certain Services may require payment of fees. All fees are quoted in Kenyan Shillings (KES) unless otherwise specified. You agree to pay all fees associated with your use of the Services.
We bill on a subscription basis or per-project basis as specified in your service agreement. Subscription fees are billed in advance. All fees are non-refundable unless otherwise stated.
Late payments may result in suspension of Services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
You are responsible for all applicable taxes, including VAT, related to your use of the Services.
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:
You acknowledge that your use of our Services in connection with healthcare operations is subject to applicable healthcare laws and regulations. You are responsible for ensuring your use of our Services complies with all applicable laws, including patient privacy requirements.
All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and images, are owned by HealthBridge Solutions or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.
You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of our software.
Any feedback, suggestions, or ideas you provide regarding our Services may be used by us without any obligation to compensate you.
Both parties acknowledge that they may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not disclose it to any third parties without the prior written consent of the other party, except as required by law.
We implement reasonable security measures to protect your data. However, you acknowledge that no security system is impenetrable. You are responsible for maintaining the security of your account credentials and for any data you input into our Services.
Our data handling practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
Our Services may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHBRIDGE SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
You agree to indemnify, defend, and hold harmless HealthBridge Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our Services or violation of these Terms.
These Terms shall remain in effect until terminated by either party.
You may terminate these Terms by ceasing to use our Services and closing your account.
We may terminate these Terms and suspend or terminate your access to our Services at any time, with or without cause, with or without notice.
Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to mediation in Nairobi, Kenya. If mediation is unsuccessful, the dispute shall be resolved through arbitration in accordance with the Arbitration Act of Kenya.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of HealthBridge Solutions.
These Terms, together with our Privacy Policy and any service agreements you enter into with us, constitute the entire agreement between you and HealthBridge Solutions regarding your use of our Services.
